# Terms of service

The terms that govern our Google Ads campaign management services: pricing, commitment, each party's obligations and ownership of your account.

## Article 1 Purpose and scope

These General Terms and Conditions of Sale (the "Terms") govern the contractual relationship between Soufiane Mabrouki, hereinafter the "Provider", and any individual or legal entity, hereinafter the "Client", wishing to use the Google Ads campaign management services offered by the Provider.

These Terms apply to the exclusion of any other terms and conditions, unless expressly agreed otherwise in writing beforehand.

Any order for services implies the Client's unreserved acceptance of these Terms.

## Article 2 Services offered

The Provider offers the following services:

### 2.1 Google Ads campaign management

- Creation and setup of Google Ads accounts
- Audit and analysis of existing campaigns
- Creation of Search campaigns (Search Network)
- Writing and optimizing ads
- Research and selection of relevant keywords
- Setting up geographic and demographic targeting
- Configuration of ad extensions

### 2.2 Conversion tracking

- Setting up conversion tracking
- Installing tracking tags (Google Tag Manager, Google Analytics)
- Configuring phone call tracking
- Configuring contact form tracking
- Setting up tracking dashboards

### 2.3 Optimization and ongoing management

- Daily performance monitoring
- Weekly bid adjustments
- Keyword and audience optimization
- A/B testing of ads
- Performance analysis and recommendations
- Detailed monthly reporting

## Article 3 Pricing and payment terms

### 3.1 Pricing structure

The Provider's services are invoiced in two separate components:

**a) Monthly management fees:** fixed fees for managing, optimizing and monitoring the Google Ads campaigns, as set out in the personalized quote.

**b) Google Ads advertising budget:** the amount invested directly on the Google Ads platform, set by the Client and billed directly by Google to the Client, or managed through the Provider's account, as agreed.

### 3.2 Quote

Each service is subject to a detailed quote specifying:

- The services included
- The monthly management fees
- The recommended advertising budget
- The minimum commitment period
- Any specific conditions

The quote is valid for 30 days from its date of issue.

### 3.3 Payment terms

- Management fees are payable monthly in arrears
- Payment is made by bank transfer, cheque or credit card
- Invoices are payable within 15 days of receipt
- Where the advertising budget is managed by the Provider, it is invoiced monthly in addition to the management fees

### 3.4 Late payment

Any late payment shall automatically, and without prior formal notice, result in:

- All sums owed becoming immediately due
- Late payment penalties equal to 3 times the applicable French statutory interest rate
- A fixed indemnity of €40 for collection costs
- The immediate suspension of advertising campaigns until full payment

## Article 4 Term and commitment

### 4.1 Minimum term

Google Ads management services are subscribed for a minimum term of 3 months from the date the campaigns actually go live.

This minimum term allows the campaigns to be optimized effectively and measurable results to be achieved.

### 4.2 Renewal

At the end of the initial commitment period, the contract is tacitly renewed for successive one-month periods unless terminated by either party.

### 4.3 Termination

- During the commitment period: termination is only possible in the event of a serious breach by either party
- After the commitment period: termination is possible at any time with 30 days' notice, by registered letter with acknowledgment of receipt or by email with read receipt

## Article 5 Provider's obligations

The Provider undertakes to:

- Use all necessary means to achieve the objectives agreed with the Client
- Manage the Google Ads campaigns professionally and efficiently
- Provide a detailed monthly performance report
- Respond to the Client's requests within a reasonable time (48 business hours at most)
- Keep the information provided by the Client confidential
- Inform the Client of any difficulty or issue encountered in managing the campaigns

**Best-efforts obligation:** the Provider is bound by an obligation of means, not of result. The performance of Google Ads campaigns depends on many factors (competition, budget, quality of the offer, market, seasonality, etc.) over which the Provider does not have full control.

## Article 6 Client's obligations

The Client undertakes to:

### 6.1 Provide information

- Provide all information needed to create and manage the campaigns (description of the business, offers, targets, geographic areas, etc.)
- Provide the necessary access (website, existing Google Ads account where applicable, etc.)
- Inform the Provider of any change in its business, offers or strategy

### 6.2 Approval

- Approve the items created by the Provider (ads, landing pages, etc.) before they go live
- Respond to approval requests within a reasonable time

### 6.3 Payment

- Pay invoices within the agreed time
- Ensure that the necessary advertising budget is available in its Google Ads account

### 6.4 Compliance with Google's rules

- Guarantee that its website, products and services comply with Google's advertising policies
- Not ask the Provider to create ads or campaigns that breach Google's rules

### 6.5 Lead handling

- Handle the leads generated by the campaigns promptly and professionally
- Answer the calls and contact requests generated

## Article 7 Intellectual property and access

### 7.1 Ownership of the Google Ads account

The Client remains the owner of its Google Ads account and the associated data. The Provider acts as manager with the necessary access rights.

If the collaboration ends, the Client retains full ownership of its account and its history.

### 7.2 Rights to the work created

The ads, keywords, settings and strategies created by the Provider as part of the service remain the property of the Client at the end of the contractual relationship.

### 7.3 Methodology

The Provider's methodology, internal processes and know-how remain its exclusive property.

## Article 8 Confidentiality and personal data

### 8.1 Confidentiality

The Provider undertakes to keep confidential all information provided by the Client in the course of the service.

This confidentiality obligation applies throughout the contractual relationship and for 3 years after it ends.

### 8.2 Personal data protection

In accordance with the GDPR (General Data Protection Regulation), the Provider undertakes to:

- Collect and process only the data strictly necessary to perform the service
- Ensure the security and confidentiality of the data processed
- Not disclose the data to third parties without express authorization
- Delete the data at the end of the contractual relationship, unless legally required to retain it

The Client has the right to access, rectify, object to and delete its personal data.

## Article 9 Liability and warranties

### 9.1 Limitation of liability

The Provider cannot be held liable for:

- The performance of Google Ads campaigns, which depends on external factors (competition, budget, website quality, attractiveness of the offer, etc.)
- Decisions made by Google (account suspension, ad disapproval, changes to advertising policies)
- Technical issues related to the Client's website (bugs, slowness, downtime)
- The quality of the Client's lead handling
- Operating losses, loss of revenue or any indirect damage

### 9.2 Cap

The Provider's liability is limited to the amount of management fees received during the 3 months preceding the event giving rise to liability.

### 9.3 Force majeure

The Provider cannot be held liable for failing to perform its obligations in the event of force majeure as defined by French case law.

## Article 10 Changes to campaigns and budget

### 10.1 Advertising budget

The Client freely sets its Google Ads advertising budget.

The Provider may recommend a minimum budget to achieve meaningful results, but the Client has the final say.

The Client may change its budget at any time with 5 business days' notice.

### 10.2 Strategic changes

Any major change to the advertising strategy (change of target, geographic area or objectives) must first be discussed with the Provider and may require a partial or complete overhaul of the campaigns.

## Article 11 Reporting and transparency

The Provider supplies the Client with:

- A real-time dashboard, accessible at any time
- A detailed monthly report including performance statistics, analysis and optimization recommendations
- Full access to the Google Ads account (the Client can view it at any time)

The Provider is committed to full transparency on how the advertising budget is used and on the performance achieved.

## Article 12 Early termination

### 12.1 Termination by the Client

- During the 3-month commitment period: termination is only possible in the event of a serious breach by the Provider of its obligations, after formal notice that has remained without effect for 15 days.
- After the commitment period: termination at will with 30 days' notice.

### 12.2 Termination by the Provider

The Provider may terminate the contract automatically and without notice in the following cases:

- Non-payment of an invoice after formal notice that has remained without effect for 15 days
- Serious breach by the Client of its obligations
- Inability to run the campaigns in compliance with Google's rules (account suspension, repeated violations of advertising policies)
- Abusive or disrespectful behavior by the Client towards the Provider

### 12.3 Consequences of termination

In the event of termination:

- Sums owed up to the effective termination date remain payable
- The Client retains ownership of its Google Ads account and may continue to use it
- The Provider's access to the account is revoked
- No refund of sums already paid may be claimed

## Article 13 Non-solicitation clause

The Client undertakes not to hire, directly or indirectly, any of the Provider's staff during the term of the contract and for 12 months after it ends.

In the event of a breach of this clause, the Client undertakes to pay the Provider a fixed indemnity equal to 12 months of the gross salary of the staff member concerned.

## Article 14 Governing law and disputes

### 14.1 Governing law

These Terms are governed by French law.

### 14.2 Dispute resolution

In the event of a dispute, the parties will endeavor to find an amicable solution.

Failing an amicable agreement within 30 days, the dispute will be brought before the competent courts of Paris.

### 14.3 Mediation

In accordance with Article L.612-1 of the French Consumer Code, a Client who is a consumer has the right to use a consumer mediator free of charge to seek an amicable resolution of any dispute with the Provider.

## Article 15 Acceptance of the Terms

Placing an order implies full and complete acceptance of these General Terms and Conditions of Sale.

The Client acknowledges having read all of these Terms and accepts them without reservation.

## Article 16 Changes to the Terms

The Provider reserves the right to modify these Terms at any time.

The applicable Terms are those in force on the date of the order.

Changes do not apply to contracts in progress unless expressly agreed by both parties.

## Article 17 Partial invalidity

If one or more provisions of these Terms are held to be invalid or declared as such under a law or regulation, or following a final decision of a competent court, the other provisions shall remain in full force and effect.

## Article 18 Language of the contract

These Terms are drawn up in French. Where they are translated into one or more foreign languages, only the French text shall prevail in the event of a dispute.
